Terms and Conditions
Introduction
Welcome to LuxFlow. These Terms and Conditions ("Terms") constitute a legally binding agreement between the user ("User," "Client," "Seller," or "you") and LuxFlow General Trading L.L.C., a limited liability company incorporated under the laws of Dubai, United Arab Emirates, holding commercial license no. 1529365, with its registered office at Abraj Center, Office 904, Naif Area, Deira, Dubai, UAE ("LuxFlow," "Company," or the "Platform").
By accessing or using the LuxFlow platform, website (luxflow.com), mobile applications, or any related services (collectively, the "Services"), the User acknowledges having read, understood, and agreed to be bound by these Terms. If the User does not agree with any part of these Terms, the User must discontinue use of the Platform immediately.
LuxFlow operates as a global micro-financing and luxury asset liquidity platform, providing short-term secured financing solutions against luxury collateral including but not limited to watches, jewelry, handbags, fine art, and valuable collectibles.
1. Definitions and Interpretation
1.1 Definitions
In these Terms, unless the context otherwise requires:
- "Agreement" means the contract formed between the User and LuxFlow comprising these Terms, the Privacy Policy, and any Transaction Documents.
- "Buyback Period" means the period of thirty (30) calendar days during which the Seller may exercise the Right of Reversal to repurchase the Item.
- "Confirmed Offer Amount" means the final purchase price offered by LuxFlow after the Physical Inspection of the Item has been completed by LuxFlow's expert team.
- "Final Sale" means a transaction where the Seller sells the Item with no intent or option to repurchase.
- "Gross Purchase Price" means the total amount paid to the Seller, being the Confirmed Offer Amount less the Platform/Service Fee.
- "Indicative Offer Amount" means the preliminary valuation offered via LuxFlow's AI-powered system prior to Physical Inspection, which is subject to change upon physical verification.
- "Item" means the object, product, or asset subject to a Quote Request, sale, or repurchase through the Platform, including but not limited to luxury watches, designer jewelry, luxury handbags, fine art, and valuable collectibles.
- "Physical Inspection" means the verification, authentication, and assessment conducted on the Item after receipt at LuxFlow's facilities or authorized inspection location.
- "Platform/Service Fee" means the non-refundable fee charged by LuxFlow which includes all Authentication Fees, Platform Buying/Finder's Fees, Insurance Fees, Storage and Handling Fees, and Logistics Costs as detailed in Section 11.
- "Quote Request" means the action taken by a User to request an offer for the User's Item through the Platform.
- "Right of Reversal" means the Seller's option to reverse a Sale with Buyback transaction within the Buyback Period by refunding the full Gross Purchase Price.
- "Sale with Buyback" means a transaction where the Seller sells the Item with the intent and option to repurchase within the Buyback Period.
- "Transaction" means any Final Sale or Sale with Buyback arrangement entered into through the Platform.
- "Transaction Documents" means the sale agreement, buyback agreement (if applicable), and any related schedules, annexes, or amendments.
1.2 Interpretation
- References to any legislation include any statutory modification or re-enactment thereof.
- Headings are for convenience only and shall not affect interpretation.
- Words importing the singular include the plural and vice versa.
- References to "include" or "including" shall be construed without limitation.
2. Consent and Agreement
2.1 Agreement to Terms
By creating an account, accessing the Platform, or using the Services, the User expressly consents to and agrees to be bound by:
- These Terms and Conditions;
- The Privacy Policy;
- Any additional terms presented at the time of Transaction.
2.2 Electronic Communications Consent
By registering for an account and providing contact information, the User expressly consents to receive electronic communications from LuxFlow, including:
- Transactional Communications (Required): Communications necessary for the operation of the User's account and Transactions, including Quote Request confirmations, Indicative Offer Amounts, Confirmed Offer Amounts, Physical Inspection updates, Transaction confirmations, payment notifications, Buyback Period reminders, account alerts, and security notifications. The User cannot opt out of transactional communications while maintaining an active account.
- Service Communications: Updates about the Platform, changes to Terms or policies, new features, and service announcements.
- Marketing Communications (Optional): Promotional offers, newsletters, and marketing messages. The User may opt out of marketing communications at any time without affecting account status.
2.3 SMS/Text Message Consent
If the User provides a mobile telephone number and consents to SMS communications during registration, the User agrees to receive text messages from LuxFlow for:
- Transaction alerts and confirmations;
- Buyback Period expiration reminders;
- Security and verification codes;
- Important account notifications.
Message and data rates may apply. The User may opt out of non-essential SMS communications by replying STOP or updating account preferences.
2.4 Consent Records
LuxFlow maintains records of the User's consent including the date and time of consent, the version of documents consented to, IP address, and account identifier. These records may be used to demonstrate the User's agreement to these Terms.
2.5 Withdrawal of Consent
The User may withdraw consent for marketing communications at any time by:
- Clicking the unsubscribe link in any marketing email;
- Replying STOP to any marketing SMS;
- Updating preferences in account settings;
- Contacting info@luxflow.com
Withdrawal of marketing consent does not affect: (a) the lawfulness of processing based on consent before withdrawal; (b) transactional communications required for the User's account and Transactions; or (c) the User's obligations under these Terms.
3. Eligibility and Account Registration
3.1 Eligibility Requirements
To use the Services, the User must:
- Be at least eighteen (18) years of age or the age of legal majority in the User's jurisdiction, whichever is higher;
- Have full legal capacity to enter into binding contracts under the laws of the User's jurisdiction;
- Not be a resident of any jurisdiction where the Services would be prohibited by applicable law;
- Not be subject to any sanctions, embargoes, or trade restrictions imposed by the United Arab Emirates or any applicable international authority;
- Provide accurate, current, and complete information as required during registration;
- Comply with all applicable laws and regulations in the User's jurisdiction.
3.2 Account Registration
To access certain Services, the User must create an account on the Platform. During registration, the User agrees to:
- Provide truthful and accurate personal and business information;
- Submit valid identification documents as required for Know Your Customer (KYC) verification;
- Maintain and promptly update account information to keep it accurate and current;
- Keep account credentials confidential and secure;
- Accept full responsibility for all activities that occur under the User's account;
- Immediately notify LuxFlow of any unauthorized access or security breach.
3.3 Account Verification
LuxFlow reserves the right to verify the User's identity and eligibility through KYC/AML procedures at any time. This may include:
- Verification of government-issued identification documents;
- Proof of address documentation;
- Source of funds verification for high-value transactions;
- Enhanced due diligence for politically exposed persons (PEPs);
- Third-party database checks and screening.
Failure to complete verification may result in restricted access or account termination.
4. Services Description
4.1 Core Services
LuxFlow provides the following Services through the Platform:
- Item Purchase Services: LuxFlow purchases luxury Items from Sellers through Final Sale or Sale with Buyback arrangements.
- Authentication Services: Professional verification of Item authenticity using industry-standard methods and expert assessment.
- Valuation Services: AI-powered Indicative Offer Amounts and expert-verified Confirmed Offer Amounts.
- Secure Storage: Climate-controlled, insured storage of Items during the Buyback Period.
- Buyback Facility: Option for Sellers to repurchase Items within the Buyback Period under Sale with Buyback transactions.
4.2 Transaction Types
LuxFlow offers two transaction types:
- Final Sale: The Seller sells the Item to LuxFlow with no option or intent to repurchase. Ownership transfers irrevocably upon completion of the Transaction.
- Sale with Buyback: The Seller sells the Item to LuxFlow with the option to repurchase within the thirty (30) day Buyback Period by exercising the Right of Reversal.
4.3 Service Limitations
LuxFlow reserves the right to:
- Decline any Quote Request or Transaction at its sole discretion without providing reasons;
- Request additional documentation, evidence, or clarification;
- Modify the Indicative Offer Amount upon Physical Inspection;
- Limit Transaction amounts, frequencies, or types;
- Suspend or discontinue Services for maintenance or other operational reasons.
5. Quote Request and Evaluation Process
5.1 Submitting a Quote Request
To request an offer for an Item, the User must:
- Complete the Quote Request form with accurate Item details including brand, model, serial number (if applicable), condition description, and purchase history;
- Upload clear, high-resolution photographs showing all aspects of the Item;
- Provide supporting documentation where available, including certificates of authenticity, original receipts, warranty cards, and appraisal reports;
- Disclose any known defects, repairs, modifications, or damage to the Item.
5.2 Indicative Offer Amount
Upon receiving a Quote Request, LuxFlow's AI-powered valuation system will provide an Indicative Offer Amount. This preliminary offer:
- Is generated based on the information and images provided by the User;
- Is subject to verification through Physical Inspection;
- May be adjusted upward or downward following Physical Inspection;
- Does not constitute a binding commitment from LuxFlow;
- Is provided for informational purposes to help the User decide whether to proceed.
5.3 Quotation Validity
The Indicative Offer Amount is valid for two (2) calendar days from the date of issuance. After this period, the User must submit a new Quote Request as market conditions and valuations may have changed.
5.4 Item Delivery
If the User accepts the Indicative Offer Amount:
- The User must deliver the Item (via in-person drop-off or scheduled pickup) within two (2) business days of acceptance;
- Failure to deliver within this window will cause the Indicative Offer Amount to expire;
- The User may submit a new Quote Request if the offer expires.
5.5 Physical Inspection
Upon receipt of the Item:
- LuxFlow's expert team will conduct a comprehensive Physical Inspection including authentication, condition assessment, and verification;
- LuxFlow will use reasonable endeavors to complete the Physical Inspection within twenty-four (24) hours from receipt;
- Upon completion, LuxFlow will issue the Confirmed Offer Amount.
5.6 Confirmed Offer Amount
The Confirmed Offer Amount:
- Is the final purchase price offered after Physical Inspection;
- May differ from the Indicative Offer Amount based on actual condition and authenticity verification;
- Is valid for forty-eight (48) hours from issuance;
- Becomes binding upon the User's acceptance and execution of Transaction Documents.
6. Authentication and Valuation Disclaimer
6.1 Authentication Services
LuxFlow's authentication services are performed by trained experts using industry-standard methods, equipment, and databases. Authentication may include:
- Visual inspection and examination of materials, craftsmanship, and construction;
- Serial number and hallmark verification against manufacturer records where available;
- Movement inspection and testing for watches;
- Gemological assessment for jewelry;
- Comparison against known authentic examples;
- Use of specialized equipment and technology.
6.2 Limitations of Authentication
THE USER ACKNOWLEDGES AND AGREES THAT:
- Authentication represents the expert opinion of LuxFlow's team based on information available at the time of inspection;
- No authentication method is infallible, and counterfeiters continuously improve their techniques;
- LuxFlow does not warrant or guarantee that any Item is authentic with absolute certainty;
- Authentication results may differ from opinions of other experts, authentication services, or the manufacturer;
- LuxFlow's authentication is valid only as of the date of inspection and does not extend to subsequent modifications, repairs, or alterations.
6.3 Valuation Disclaimer
Valuations provided by LuxFlow (whether Indicative Offer Amount or Confirmed Offer Amount) are based on:
- Current market conditions and comparable sales data;
- Item condition, provenance, and documentation;
- LuxFlow's proprietary algorithms and expert assessment;
- Supply and demand factors at the time of valuation.
Valuations represent LuxFlow's purchase offer and may not reflect retail prices, insurance values, auction estimates, or valuations by other parties. Market values fluctuate, and LuxFlow is not responsible for changes in Item value before or after a Transaction.
6.4 Limitation of Liability for Authentication
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- LuxFlow's liability for authentication errors is limited to the Confirmed Offer Amount for the relevant Item;
- LuxFlow is not liable for any Item that passes LuxFlow's authentication but is subsequently determined to be counterfeit by a manufacturer, other authentication service, or legal authority;
- LuxFlow is not liable for indirect, consequential, or punitive damages arising from authentication services;
- If an Item is determined to be counterfeit after Transaction completion, LuxFlow's sole remedy is at its discretion and may include reversal of the Transaction or other appropriate resolution.
6.5 Third-Party Authentication
LuxFlow may, at its discretion, engage third-party authentication services for certain Items. LuxFlow is not responsible for the opinions, errors, or omissions of third-party authenticators, and any recourse shall be solely against such third parties.
7. Ownership and Authenticity Declarations
7.1 Ownership Warranty
By submitting an Item, the User irrevocably warrants and represents that:
- The User is the sole legal and beneficial owner of the Item with full title and right to sell;
- The Item is free from any liens, charges, encumbrances, or third-party claims;
- The Item has not been reported stolen or lost;
- The Item is not subject to any legal dispute, court order, or seizure;
- The User has full authority to enter into the Transaction.
7.2 Authenticity Warranty
The User warrants that the Item submitted is genuine and authentic and that all information provided about the Item is accurate, complete, and not misleading.
7.3 Legal Accountability
If an Item is later found to be stolen, fraudulent, counterfeit, or subject to any third-party claim, the User (Party A) agrees to:
- Bear full legal responsibility for all consequences;
- Indemnify LuxFlow and/or the buyer for any damages, legal fees, or financial losses suffered;
- Refund the entire transaction amount immediately upon written notice.
7.4 Platform & Buyer Protection
LuxFlow and its buyers are not liable for the Item's origin, history, or hidden legal risks unless explicitly known at the time of transaction.
8. Final Sale Transactions
8.1 Transaction Process
For Final Sale transactions:
- The User accepts the Confirmed Offer Amount with no intent to repurchase;
- The User executes the Final Sale Transaction Documents;
- Ownership transfers irrevocably to LuxFlow upon completion;
- The User receives the Gross Purchase Price (Confirmed Offer Amount less Platform/Service Fee);
- The User has no further rights to the Item.
8.2 Finality
Final Sale transactions are irrevocable. Once completed, the User cannot reverse, cancel, or repurchase the Item under any circumstances.
9. Sale with Buyback Transactions
9.1 Transaction Structure
For Sale with Buyback transactions:
- The User sells the Item to LuxFlow at the Confirmed Offer Amount;
- LuxFlow grants the User the Right of Reversal within the Buyback Period;
- The User receives the Gross Purchase Price (Confirmed Offer Amount less Platform/Service Fee);
- The Item is securely stored and insured during the Buyback Period;
- The User may exercise the Right of Reversal within thirty (30) calendar days.
9.2 Right of Reversal
The Seller may reverse the sale within thirty (30) calendar days from the Transaction completion date, subject to the following conditions:
- The Seller must provide written notice of intent to exercise the Right of Reversal;
- The Seller must refund the full Gross Purchase Price in cleared funds;
- Upon receipt of the full refund, LuxFlow will release the Item to the Seller via Brinks insured logistics;
- The Seller is responsible for Brinks shipping costs for Item return.
9.3 Buyback Period Extensions
The Seller may request extensions to the Buyback Period as follows:
- Up to three (3) renewals of thirty (30) calendar days each, subject to renewal fees;
- Renewal fees will be confirmed to the User by LuxFlow using the same methodology as for calculation of the initial Platform/Service Fee;
- A final extension of seven (7) calendar days may be granted at LuxFlow's sole discretion;
- Extension requests must be submitted before the current Buyback Period expires;
- Renewal fees are non-refundable and must be paid before the extension becomes effective.
9.4 Expiration of Buyback Period
If the Right of Reversal is not exercised within the Buyback Period (including any approved extensions):
- The Sale with Buyback automatically converts to a Final Sale;
- Full ownership transfers irrevocably to LuxFlow;
- The Seller forfeits all rights to the Item;
- LuxFlow may dispose of the Item at its sole discretion;
- No additional notice is required to the Seller.
10. Custody, Insurance, and Replacement
10.1 Secure Storage
During the Buyback Period for Sale with Buyback transactions, Items are:
- Stored in secure, climate-controlled facilities;
- Subject to professional handling and storage protocols;
- Monitored and protected by security systems.
10.2 Insurance Coverage
While the Item is held in LuxFlow's custody, it is insured against loss, theft, and damage. The insurance coverage:
- Is included in the Platform/Service Fee;
- Covers the Item during transit (via Brinks), authentication, and storage;
- Is subject to standard insurance policy terms and exclusions.
10.3 Loss or Damage
In the event of loss or damage to an Item while in LuxFlow's custody:
- LuxFlow will notify the Seller promptly;
- LuxFlow reserves the right, at its sole discretion, to replace the Item with an item of similar or higher value;
- If replacement is not possible or practical, LuxFlow will refund the Confirmed Offer Amount;
- LuxFlow's liability is limited to the Confirmed Offer Amount.
11. Fees and Charges
11.1 Platform/Service Fee
The Platform/Service Fee is a comprehensive fee that includes all of the following components:
- Authentication Fee: Verification of authenticity and condition of the Item by LuxFlow's expert team and/or third-party authentication partners.
- Platform Buying/Finder's Fee: Sale facilitation, sourcing, and Transaction execution services.
- Insurance Fee: Coverage during transit (via Brinks), authentication, storage, and the Buyback Period.
- Storage and Handling Fee: Secure storage, logistics coordination, and professional handling.
- Shipping and Logistics Costs: All Brinks insured shipping, logistics, and handling costs are embedded within the Platform/Service Fee and are not charged or displayed as a separate line item.
11.2 Fee Transparency
The Platform/Service Fee:
- Is calculated as a percentage of the Confirmed Offer Amount;
- Will be clearly disclosed before the User accepts any offer;
- Is deducted from the Confirmed Offer Amount to arrive at the Gross Purchase Price the User receives;
- Includes all components listed above with no hidden charges.
11.3 Non-Refundable Fees
All Platform/Service Fees, including but not limited to authentication, finder's fee, insurance, storage, handling, and Brinks logistics, are NON-REFUNDABLE and shall remain payable in all circumstances, including:
- Completion of a Final Sale;
- Completion of a Sale with Buyback;
- Exercise of the Right of Reversal;
- Expiration of the Buyback Period.
Once a Transaction is completed, the Platform/Service Fee cannot be refunded under any circumstances.
11.4 Taxes
The User is solely responsible for:
- All taxes, duties, levies, and charges applicable to the User's Transactions;
- Reporting income, gains, or losses to relevant tax authorities;
- Compliance with Value Added Tax (VAT) requirements in the UAE (5%);
- Obtaining professional tax advice regarding specific circumstances.
12. Payment Terms
12.1 Payment Process
Upon acceptance of the Confirmed Offer Amount and execution of Transaction Documents:
- Payment execution is immediate upon the User's acceptance;
- Payment will be made via the User's chosen method;
- The User will receive the Gross Purchase Price (Confirmed Offer Amount less Platform/Service Fee).
12.2 Payment Methods and Processing Times
LuxFlow offers the following payment methods:
- Cryptocurrency: Approved stablecoins (USDC, USDT) to the User's designated wallet address. Processing time: 5–15 minutes depending on network conditions.
- PayPal: Transfer to the User's PayPal account or linked bank account. Processing time: Instant (fee applies) or 1–3 business days (standard).
13. Acceptance Use and User Conduct
13.1 Prohibited Activities
The User agrees not to:
- Violate any laws, regulations, or ordinances in any applicable jurisdiction;
- Submit forged, stolen, counterfeit, illegal, or prohibited Items;
- Provide false, misleading, or fraudulent information;
- Upload harmful code, malware, or attempt to gain unauthorized system access;
- Infringe upon intellectual property or privacy rights of others;
- Engage in money laundering, terrorist financing, or sanctions evasion;
- Circumvent security measures or access controls;
- Impersonate any person or entity or misrepresent affiliations;
- Interfere with the proper functioning of the Platform;
- Scrape, harvest, or extract data from the Platform;
- Use the Platform for competitive intelligence or reverse engineering;
- Submit Items that are subject to export controls, sanctions, or trade restrictions.
13.2 Prohibited Items
The following Items may not be submitted to the Platform:
- Counterfeit, replica, or imitation goods;
- Stolen or unlawfully obtained property;
- Items subject to liens, encumbrances, or third-party claims;
- Weapons, ammunition, or explosives;
- Controlled substances or drug paraphernalia;
- Hazardous materials;
- Items prohibited by UAE law or international trade restrictions;
- Items of cultural or archaeological significance subject to export restrictions.
13.3 Enforcement
LuxFlow reserves the right to:
- Reject any Item or Quote Request at its sole discretion;
- Suspend or terminate accounts for violations;
- Report suspected illegal activity to law enforcement;
- Retain Items pending investigation of fraud or misrepresentation;
- Pursue legal remedies for damages caused by violations.
14. Intellectual Property
All content on the Platform, including branding, logos, trademarks, user interface components, designs, graphics, software code, and written content, is the exclusive intellectual property of LuxFlow Technologies or its licensors. Use or reproduction without prior written permission is strictly prohibited.
Trademarks, brand names, and logos of luxury goods manufacturers appearing on the Platform are the property of their respective owners. LuxFlow is not affiliated with, sponsored by, or endorsed by any luxury goods manufacturer unless expressly stated.
15. Privacy and Data Protection
The User's use of the Platform is also governed by LuxFlow's Privacy Policy, which outlines how LuxFlow collects, stores, processes, and uses personal data in compliance with UAE Personal Data Protection Law (PDPL) and DIFC Data Protection Law. By using the Platform, the User consents to the practices described in the Privacy Policy.
16. Limitation of Liability
16.1 Service Availability
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied.
16.2 Limitation of Damages
To the fullest extent permitted by law, LuxFlow shall not be liable for:
- Loss of profits, revenue, business, or anticipated savings;
- Loss of data or corruption of information;
- Indirect, incidental, special, consequential, or punitive damages;
- Issues arising from third-party service failures;
- Market fluctuations affecting Item values;
- Force majeure events.
16.3 Liability Cap
LuxFlow's total aggregate liability arising from or related to these Terms shall not exceed the Confirmed Offer Amount for the relevant Transaction.
17. Indemnification
The User agrees to indemnify, defend, and hold harmless LuxFlow, its affiliates, directors, officers, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- The User's use of the Services or violation of these Terms;
- The User's breach of any representation, warranty, or obligation herein;
- The User's violation of any applicable law or third-party rights;
- Any Items submitted by the User that are counterfeit, stolen, or encumbered;
- Any fraudulent or negligent acts or omissions by the User.
18. Dispute Resolution
18.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai, without regard to conflict of law principles.
18.2 Mandatory Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, the Services, any Transaction, or the breach, termination, or invalidity thereof, shall be finally and exclusively settled by binding arbitration administered by the Dubai International Arbitration Centre ("DIAC") in accordance with the DIAC Arbitration Rules in force at the time of the dispute. The parties expressly waive any right to litigate disputes in court or before a jury.
18.3 Arbitration Procedure
The arbitration shall be conducted as follows:
- The seat of arbitration shall be Dubai, United Arab Emirates;
- The arbitration shall be conducted in the English language;
- The arbitral tribunal shall consist of a sole arbitrator appointed by DIAC;
- For disputes under USD 100,000, the DIAC Expedited Procedure shall apply;
- The arbitrator shall have no authority to award punitive, exemplary, or consequential damages;
- The arbitrator shall award costs (including reasonable legal fees) to the prevailing party;
- The award shall be final and binding, with no right of appeal except as required by law;
- Judgment upon the award may be entered in any court having jurisdiction thereof.
18.4 Limitation Period
Any claim or dispute arising under these Terms must be submitted to arbitration within one (1) year from the date the claim arose. Failure to initiate arbitration within this period constitutes a waiver of such claim.
18.5 Confidentiality
All arbitration proceedings, submissions, evidence, and awards shall be strictly confidential. Neither party shall disclose any information about the arbitration except as required by law or to enforce the award.
18.6 Informal Resolution
Before initiating arbitration, the parties agree to attempt resolution through good faith negotiation for a period of fourteen (14) days from written notice of the dispute. Any such notice must be sent to LuxFlow at legal@luxflow.com.
18.7 Injunctive Relief
Notwithstanding the foregoing, LuxFlow may seek injunctive or other equitable relief from any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent unauthorized use of the Platform, without posting bond.
18.8 Class Action Waiver
The User agrees that any arbitration shall be conducted on an individual basis only, not as a class, consolidated, or representative action. The User waives any right to participate in any class, consolidated, or representative proceeding against LuxFlow.
19. Modification of Terms
LuxFlow reserves the right to update, modify, or replace these Terms at any time. Material changes will be notified through posting on the Platform, email notification, or in-app notifications. Continued use of the Platform after any modification implies the User's acceptance of the updated Terms.
20. Termination
20.1 Termination by User
The User may terminate the User's account at any time by providing written notice. Termination does not relieve the User of outstanding payment obligations or obligations under existing Transaction Documents.
20.2 Termination by LuxFlow
LuxFlow may suspend or terminate the User's account immediately upon breach of these Terms, suspected fraudulent activity, failure to provide required documentation, or request by law enforcement authorities.
21. General Provisions
21.1 Entire Agreement
These Terms, together with the Privacy Policy and any Transaction Documents, constitute the entire agreement between the User and LuxFlow regarding the subject matter hereof.
21.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, such invalidity shall not affect the validity of the remaining provisions.
21.3 Waiver
No failure or delay by LuxFlow in exercising any right shall operate as a waiver thereof.
21.4 Assignment
The User may not assign these Terms without LuxFlow's prior written consent. LuxFlow may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
21.5 Force Majeure
LuxFlow shall not be liable for any failure or delay resulting from circumstances beyond its reasonable control.
